Terms and Conditions for WebDesign Mantra Web Design and Development Services

Welcome to WebDesign Mantra, a web design and development agency. These Terms and Conditions (“Terms”) govern your use of our services, including the design, development, maintenance, and other services provided by us (“Services”). By using our Services, you (“Client”) agree to be bound by these Terms. Please read them carefully.


1. Services Provided

WebDesign Mantra provides custom web design and development, as well as related services including but not limited to:

  • Website design and development
  • Content management system (CMS) development
  • Website hosting setup and maintenance
  • Search engine optimization (SEO) services
  • Website security
  • E-commerce solutions
  • Website consulting and training

2. Acceptance of Terms

By signing a project agreement, purchasing services, or using our Services, you agree to comply with these Terms. If you do not agree to these Terms, you must refrain from using our Services.

3. Project Timeline

We strive to complete all projects within the agreed-upon timeframe. However, we are not liable for delays caused by:

  • Client’s failure to provide necessary content, feedback, or approvals.
  • Delays caused by third-party service providers (e.g., hosting, domain registration).
  • Force majeure events such as natural disasters, internet outages, or other unforeseen circumstances.

4. Client Responsibilities

To ensure the successful completion of the project, the Client agrees to:

  • Provide timely feedback, approvals, and access to necessary content.
  • Ensure all content provided (including text, images, and trademarks) is legally owned or licensed.
  • Adhere to the payment schedule set out in the agreement.
  • Inform WDM of any significant changes to the scope of the project.

5. Intellectual Property

  • Ownership of Deliverables: Upon final payment, the Client will own the rights to all design and development work completed specifically for them.
  • Licensing of Third-Party Software: WDM may use third-party software, themes, or tools (e.g., WordPress, Shopify) to develop the Client’s site. The Client will receive a license to use these tools as part of the Services. Ownership of these tools remains with the third-party provider.
  • Agency’s Portfolio: WDM reserves the right to showcase the completed project in its portfolio and for marketing purposes unless otherwise agreed upon in writing by the Client.

6. Payments and Billing

  • Pricing: The pricing for services will be outlined in the project proposal and agreement. All pricing is in Rupees unless otherwise specified.
  • Payment Schedule: The payment terms will be specified in the contract. Typically, we require a deposit upfront, followed by milestone payments or a final payment upon project completion.
  • Late Payments: Payments must be made according to the agreed schedule. Late payments may incur a [0-5]% late fee for each week the payment is delayed.
  • Additional Charges: Any additional services requested by the Client that fall outside the scope of the original agreement will be billed separately, and the Client will be notified before any work begins.

7. Revisions and Changes to Scope

  • Revisions: The project scope will include a specific number of revisions, as detailed in the agreement. Additional revisions may incur extra charges.
  • Scope Changes: If the Client requests a change in project scope (e.g., adding new features), the timeline and pricing may be adjusted accordingly. A written agreement will be issued for any changes.

8. Confidentiality

Both parties agree to keep all information shared during the course of the project confidential, including business strategies, client lists, and any proprietary information. This does not apply to information that is publicly available or independently developed.

9. Limitation of Liability

WebDesign Mantra will not be held liable for:

  • Any loss of revenue, profits, or data caused by errors, delays, or issues outside our control.
  • Indirect, special, incidental, or consequential damages, even if WDM has been advised of the possibility of such damages.
  • Any third-party services, including hosting, domains, or software used in the development of the Client’s website.
  • Issues that arise after the project is completed, unless the issues result from defects in the original work done by WDM.

10. Warranties

  • WDM does not provide a warranty for third-party software or tools used in the development of the website.
  • We make no guarantees regarding search engine rankings, traffic generation, or other specific results.
  • We warrant that the developed website will function according to the specifications outlined in the project proposal for [X] months after delivery, provided that no third-party modifications are made.

11. Termination

  • By the Client: The Client may terminate the agreement at any time by providing written notice. In such cases, the Client is responsible for all work completed up to the point of termination, including any non-refundable expenses incurred.
  • By WebDesign Mantra: We may terminate the agreement if the Client fails to meet payment terms or fails to provide the necessary resources for the completion of the project. In such cases, the Client will be liable for all work completed up until the termination date.

12. Indemnification

The Client agrees to indemnify and hold harmless WebDesign Mantra, its employees, and contractors from any and all claims, losses, damages, and expenses, including legal fees, arising from:

  • The use of the website developed by WebDesign Mantra.
  • Violations of any intellectual property rights.
  • Any legal claims resulting from the content provided by the Client.

13. Privacy Policy

Your privacy is important to us. WebDesign Mantra will collect and use your information only as necessary for the purpose of fulfilling our Services. We will not sell or share your information with third parties without your consent, except as required by law. For more details, please refer to our Privacy Policy.

14. Force Majeure

WebDesign Mantra is not responsible for any failure or delay in performance of its obligations under these Terms if such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to natural disasters, strikes, wars, or technical failures.

15. Governing Law
